For Sophisticated Investors
A New Asset Class. Regulated. Transparent. Tokenised.
NexA gives Sophisticated Investors access to short-duration, investment-grade trade receivables. Each one is tokenised on blockchain, with investor funds held by an independent SC-registered trustee.
This page is intended solely for Sophisticated Investors as defined under the Capital Markets and Services Act (Malaysia).

Why Sophisticated Investors choose NexA
Investment-Grade Backing
Every Anchor Buyer is rated bbb or above by RAM CreditSCAN — the same threshold used for conventional investment-grade bonds.
Short-Duration Assets
Tenors of 30 to 180 days, not years. Capital recycles fast, giving you a built-in liquidity buffer.
5%–8% p.a. Potential Return
Attractive income for the credit quality and tenor involved.
Ring-Fenced Capital
Your funds sit in a segregated LP Trust Account at CIMB Bank Berhad — separate from V Systems' own assets.
Real-Time Transparency
Every transaction is recorded on an immutable blockchain ledger — full visibility, no manual reconciliation.
We make it simple
How your investment works
You subscribe
Execute LP Subscription Agreement, fund your wallet, select your Buyer Sub-pool.
Pool deploys
Your capital is deployed to finance approved supplier invoices, each backed by an Irrevocable Payment Undertaking (IPU). All assets are tokenised as ROR Tokens on the blockchain ledger.
Returns accrue
At invoice maturity, the Anchor Buyer settles in full to the LP Trust Account. Net yield updates the pool NAV.
Limited and exclusive

Frequently asked questions
NexA is a Deep Tier Supply Chain Finance Platform operated by Virtual Economy Technology Sdn Bhd (V Systems), a participant in the SC Malaysia Regulatory Sandbox. You participate through an LP Sub-Pool — a ring-fenced pool tied to a single Anchor Buyer. The pool deploys capital to finance approved supplier invoices, which are represented as ROR Tokens on a blockchain ledger. You are acquiring a beneficial interest in short-duration trade receivables owed by that one Anchor Buyer. You are not making a loan to the platform or to the supplier. Because each Sub-Pool holds the obligations of one Anchor Buyer only, your exposure within a Sub-Pool is single-name credit exposure, and V Systems does not diversify on your behalf — the choice of Sub-Pool is your allocation decision (LPSA Clause 12.6).
Investment is restricted to Sophisticated Investors as determined by the Securities Commission Malaysia under the Guidelines on Categories of Sophisticated Investors (SC-GL/1-2024). Paragraph 5.01 of those Guidelines specifies three categories: – Accredited Investor — principally licensed, registered or approved institutions, including banks, licensed persons, exchanges and clearing houses, Labuan licensees, SC-approved closed-end funds, and the chief executive or a director of such a person. – High-Net Worth Entity — including a corporation or partnership with total net assets exceeding RM10 million, and trust companies or fund managers with assets under management exceeding RM10 million. – High-Net Worth Individual — qualifying either on a financial test (net personal assets above RM3 million with the primary residence counted at no more than RM1 million; joint net assets above RM3 million on the same basis; gross annual income above RM300,000 in the preceding twelve months; or a net investment portfolio in capital market products above RM1 million, measured net of related borrowings), or on a knowledge-and-experience test (a qualifying degree or MBA together with five consecutive years of relevant experience; five consecutive years with a capital market intermediary in a specified function; or one of eight specified professional membership grades). ELIGIBILITY IS ESTABLISHED BY DECLARATION Paragraph 5.02 of SC-GL/1-2024 requires you to self-declare, at the point of onboarding, that you meet the relevant criterion. You tick one category and one criterion within it. V Systems does not require supporting documents for eligibility, and the declaration is made once — there is no annual re-verification. This is separate from customer due diligence. Eligibility asks whether you are a Sophisticated Investor; due diligence asks who you are. The second does require documents, and is described at Q15.
Returns differ by unit class. Series Units carry a Net Investor Rate stated in your Series Subscription Confirmation, which is a maximum return, not a fixed one: they are redeemed at NAV per unit, capped at that maximum. Participatory Units have no maximum: your return is the gross financing spread earned on deployed capital, less the Platform Service Fee, expressed through movement in NAV per unit. NAV per unit may rise or fall. The gross financing rate is computed for each receivable at the moment it is financed: a Base Rate specific to the Anchor Buyer, plus the pool’s utilisation (capped at 90%) multiplied by a Premium Factor. Each Anchor Buyer’s Base Rate is set by V Systems by reference to its RAM credit rating and sector, under the methodology in the NexA Fee and Rate Schedule. It is confidential to that Buyer and its Suppliers and is not shown to investors. The rate is fixed for each receivable when it is financed, so a later change never reprices a receivable already in the pool. What you see instead, for each Buyer pool on the Investor Portal, is the Anchor Buyer’s RAM rating and an indicative net return on deployed capital — the rate currently applying to new financing in that pool, less the Platform Service Fee. It differs from pool to pool. It is indicative only: not a forecast and not a guaranteed return. From that gross spread V Systems deducts a Platform Service Fee of up to 3.00% per annum, set for each Buyer pool when it opens and shown on the Investor Portal, extracted from the pool at T=0 of each financing transaction. It may be reduced but is never increased for an open pool. The residual accrues to investors. Your realised return is not the residual spread, because capital is not deployed at all times. Returns depend on pool utilisation — capital awaiting deployment sits in cash or Short-Term Instruments and earns correspondingly less — and on the mix and tenor of transactions within the Sub-Pool. LP Tokens held in your wallet between investments earn nothing at all; income from placing the fiat behind them in Short-Term Instruments is credited to the Sub-Pools in proportion to their NAV, not to you (LPSA Clause 14.3).
No. NexA is not a capital-guaranteed product — you take on the credit risk of the underlying Anchor Buyers and the performance of the LP Sub-Pool you invest in. The protections built into the structure (segregated trust account, investment-grade obligor floor, Sub-Pool Cap) are designed to manage and limit risk, not eliminate it. As with any investment, you should review the Information Memorandum in full and seek independent professional advice before subscribing.
– Platform Service Fee (Up to 3.00% p.a., set per Buyer pool): Charged on deployed receivables and extracted from the pool at T=0 of each financing transaction. Set for each Buyer pool when it opens and shown on the Investor Portal; may be reduced but never increased. Deducted at pool level before returns accrue to investors; there is no separate investor-level charge. – Withdrawal Fee (RM25 to RM50): Payable on fiat withdrawal of LP Tokens. This is the only fee you pay directly. – Subscription (Nil): No entry charge on Series commitment or P-Unit subscription. – Redemption (Nil): No fee on a redemption, on the crediting of LP Tokens at a Window, on reallocation to another Sub-Pool, or on a Matched Transfer. A settlement spread across several Windows therefore incurs no repeated charge — you accumulate LP Tokens and withdraw once. – Management fee (Nil): No management fee beyond the Platform Service Fee. Fees are set out in the NexA Fee and Rate Schedule published on the Platform, which forms part of the LP Subscription Agreement. V Systems may amend the Fee and Rate Schedule on not less than 14 days’ prior written notice (LPSA Clause 20.5). Note that LP Tokens held in your wallet accrue no interest, profit or return of any kind (LPSA Clause 2.4(e)). Capital sitting in your wallet between investments is not earning. The fiat behind it is not invested, so no income arises on it (LPSA Clause 14.3).
